Retail Partner Terms & Conditions
Effective: March 1, 2026
Leon's Legacy® is a registered trademark brand fully managed by Legacy Builder Foods, Inc., a Texas corporation authorized to do business in Oklahoma ("Seller," "we," or "us"). These Terms & Conditions govern all purchases of Leon's Legacy® products ("Products") from Seller by approved Retail Partners ("Retail Partner," "you"). By placing an order or accepting delivery, you agree to these terms and conditions.
Pricing & Discounts
- Pricing is tiered, based on order quantity:
- Orders of 2–3 cases total: 40% off suggested retail price.
- Orders of 4+ cases total: 50% off suggested retail price.
- Any combination of Products counts toward the case total.
- Pricing is strictly confidential and may not be disclosed publicly, shared with competitors, or used in consumer-facing advertising without our written approval.
- We reserve the right to offer deeper discounts for very large-volume retail partners on a case-by-case basis.
- We commit to not selling Products online (our own website leonslegacy.com or other retail marketplace sites) below suggested retail price, helping protect your retail margins.
Minimum Order & Product Details
- Minimum order: 2 cases total (any mix of products).
Payment Terms
- New Retail Partners: Prepayment required.
- Established Retail Partners (with credit approval): Net 30 days from invoice date.
- Late payments subject to 1.5% monthly finance charge (or maximum allowed by law).
- All prices exclude sales tax. Retail Partner must provide valid resale certificate/tax exemption ID.
Shipping & Delivery
- Shipping is FOB our facility in Goldsby, Oklahoma (Retail Partner pays freight or shipping charges).
- We use reliable carriers with tracking. Risk of loss passes to Retail Partner upon handover to carrier.
Returns & Refunds
- No returns on opened cases.
- No Returns or Refunds on food products.
- Unopened cases of non-food may be returned within 30 days for credit (subject to inspection and restocking/shipping fees if applicable).
- All sales are final except as noted. No returns or refunds for change of mind.
Resale & Use
- Products are for resale through legitimate retail channels only (physical “brick-and-mortar” locations or approved e-commerce sites associated directly with you).
- No resale on unauthorized online marketplaces, auction sites, or at deep discounts without our prior written approval.
- Retail Partner agrees to comply with all applicable food safety, labeling, and sales laws in the jurisdiction(s) in which the Products are sold or distributed.
- Seller warrants that the Products, including their labels and packaging as shipped, comply with all applicable federal food safety, labeling, and packaging laws at the time of delivery.
Marketing & Store Locator
- Approved Retail Partners receive a free prominent listing on our Store Locator (including store name, address, phone, hours, logo if provided, and website link).
- We may feature or mention your store on our Social Media accounts and website when you sell or promote our Products.
Warranties & Liability
- Products are warranted to meet quality standards at time of shipment (subject to the specific warranty in Section 6).
- We are not liable for consequential damages. Liability is limited to the purchase price of the affected Products.
Termination & Changes
- Either party may terminate with 30 days' written notice. Outstanding invoices will remain due until paid.
- We may update these terms and conditions from time to time as business needs dictate. Continued orders constitute acceptance of any changes in these terms and conditions.
Governing Law
- Oklahoma law applies. Disputes resolved in the state of Oklahoma.
By submitting a retail partner application and/or placing orders, you acknowledge and agree to these Terms & Conditions.
